It's not possible to setup a legal entity that is tied to a purpose and not susceptible to hostile take overs (Game~B entity).
Creating a template for Articles of Association for Purpose Companies and Cooperatives, that can be used to setup legal entities/wrappers.
This is the total amount allocated to Purpose Entities AoA (Game~B!).
In order to establish perennially sustainable projects, an appropriate legal wrapper is missing.
The current legal entity frameworks are prone to hostile take overs or privatising profits. The Purpose Foundation found a way around this by hacking together a legal wrapper that is:
a) decoupling voting power and dividends from company shares
b) attaching a purpose to the company that can not be changed
c) only allowing foundations and non profit entities to hold dividend shares
d) giving veto shares to a foundation aligned with its purpose and doing oversight that purpose is upheld
This is very much in line with the emerging alternative economic model called Game~B
Game~B!
SecretDecks is the first Purpose Cooperative in Europe focused on mental health and knowledge of self. I'd like to adapt the Articles of Association (AoA) I've written (based off of the German template provided by the Purpose Foundation) for the cooperative, for a purpose company.
The AoA template for purpose companies will form the basis of a legal wrapper for DAOs and DisCo's (Distributed Cooperatives) to be used by any purpose driven project building in and on cardano.
This will help DAOs and DisCos to present themselves as "serious" and understanding of and compatible to legacy systems.
Atomic Holocaust in Europe.
Total = 836 USD per AoA
TOTAL = 1056 USD
